Vertiv to acquire PurgeRite, expanding liquid cooling fluid management for high-density data centers

Vertiv has announced it has entered into an agreement to acquire Purge Rite Intermediate, a provider of mechanical flushing, purging, and filtration services for data centers and mission-critical facilities. Vertiv reports that the approximately $1.0 billion transaction, with an additional potential $250 million earn-out based on 2026 performance, will enhance its thermal management services and expand its offerings for liquid cooling in high-density and artificial intelligence (AI)-driven environments.

Vertiv claims the planned acquisition will strengthen its capabilities across the “thermal chain” by adding PurgeRite’s engineering expertise, proprietary technologies, and scalable service model. PurgeRite works with hyperscale operators and top colocation providers, delivering high-velocity fluid flushing, purging to remove air and gas, and filtration for liquid cooling loops—from chillers to coolant distribution units. These services help maintain ultra-clean, air-free, and chemically stable coolant, which is crucial for maximizing heat transfer, equipment efficiency, and overall data center uptime. Vertiv expects the deal to be margin accretive to its higher-margin Services business.

Vertiv states that with the addition of PurgeRite, it will be able to provide end-to-end liquid cooling service capabilities, helping customers optimize system performance, reduce the risk of downtime, and offer consistent global service quality. PurgeRite is headquartered in Houston, Texas, with plans to expand its service centers across North America.

The transaction is expected to close in the fourth quarter of 2025, subject to customary regulatory approvals including requirements of the Hart-Scott-Rodino Antitrust Improvements Act.
