Nextpower acquires Prevalon to expand BESS for grid and data centers

Nextpower has completed its acquisition of Prevalon Energy and is rolling the business into what it calls an advanced energy storage unit. Prevalon is described as a US-headquartered supplier of large-scale battery energy storage systems (BESS), power stabilization solutions, and lifecycle services, bringing battery storage capability into Nextpower’s integrated energy technology platform.

Nextpower says the combined platform is intended to support grid-connected storage, hybrid power plants, AI data center infrastructure, and other critical power applications. The company also points to a portfolio that includes BESS, energy management software, power control technologies, and lifecycle services, and it reports more than 6 GWh of energy storage systems deployed worldwide across Prevalon’s track record.

For data center operators, the practical takeaway is that Nextpower is explicitly tying utility-scale storage and power controls to AI data center infrastructure. That matters because high-load, fast-changing demand profiles put pressure on upstream power quality and capacity planning, and grid-side storage is one of the tools developers evaluate alongside on-site generation and utility service upgrades.

Nextpower said Prevalon’s team will continue to be run by Tom Cornell, who led Prevalon as CEO since its founding. “Reliable energy storage is foundational to designing, building, and operating critical energy infrastructure,” said Dan Shugar, founder and CEO of Nextpower. Shugar added that the addition of Prevalon expands Nextpower’s ability to serve utility-scale customers and data centers with a broader portfolio of technologies.

Inducement equity awards tied to the acquisition

In connection with the close of the transaction, Nextpower also granted inducement awards to former Prevalon employees who joined Nextpower. The awards include an aggregate of 810,733 performance-based restricted stock units (PSUs) and up to 375,000 service-based restricted stock units (RSUs), covering Nextpower Class A common stock.

The RSUs vest in equal annual installments over the first four anniversaries of the closing date, generally subject to continued employment. The PSUs will be earned and vest between 0% and 100% based on Prevalon’s achievement of a gross profit performance goal measured from April 1, 2026, to March 31, 2030, generally subject to continued employment through the end of that performance period. Nextpower said the inducement awards were granted in accordance with Nasdaq Listing Rule 5635(c)(4) and were unanimously approved by the Compensation and People Committee of its board.
